Welcome to Te Yun. These Terms of Service constitute a legally binding agreement between you and Jinan Teyun Trading Co., Ltd., a company organized under the laws of the People's Republic of China, operating the website at www.teyun.hair and providing computer systems design and IT services.

By accessing or using our website, engaging our services, or otherwise interacting with Te Yun, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. • DevOps consulting and CI/CD pipeline design
• Technical advisory and digital transformation strategy
• Network design, database engineering, and performance optimization

The specific scope, deliverables, timelines, and fees for any engagement will be set forth in a separate written agreement, statement of work, or proposal signed by both parties. Nothing on our Website constitutes a binding offer to provide services. All services are subject to a separate agreement.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice, though we will make reasonable efforts to notify active clients of any material changes that affect ongoing engagements.

As a user of our Website and Services, you agree to conduct yourself in a lawful, ethical, and professional manner. Specifically, you agree not to:

The Te Yun name, logo, and all related product and service names, design marks, and slogans are trademarks of Jinan Teyun Trading Co., Ltd. You may not use any of these trademarks without our prior written permission.

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal or internal business purposes. This license does not include any right to reproduce, modify, distribute, sell, lease, or create derivative works from any Content without our express written consent.

For professional services engagements, the ownership and licensing of deliverables created for clients will be governed by the terms of the separate services agreement between the parties. Unless otherwise agreed in writing, Te Yun retains ownership of all pre-existing intellectual property, tools, methodologies, and frameworks used in the delivery of services.

Payment terms for professional services are established in the separate agreement, statement of work, or proposal agreed upon by both parties before the commencement of any engagement. These terms typically include:

• Fees: The total or hourly fees for services, along with any applicable taxes, expenses, and additional costs.
• Invoicing Schedule: The frequency and method of invoicing, which may include upfront deposits, milestone-based payments, or monthly retainers.
• Payment Due Date: The timeframe within which invoices must be paid, typically net 15 or net 30 days from the invoice date.
• Late Payment: Interest or fees that may apply to overdue payments, as specified in the engagement agreement.

All fees are quoted and payable in the currency specified in the engagement agreement. Unless otherwise stated, fees are exclusive of applicable taxes, which will be added to invoices where required by law.

We reserve the right to suspend or terminate services if payments are not received by the applicable due date, after providing reasonable notice to the client.

We strive to maintain high availability of our Website and Services, but we do not guarantee uninterrupted or error-free operation. From time to time, we may need to:

• Perform scheduled maintenance, during which certain features may be temporarily unavailable.
• Address emergency issues, including security vulnerabilities or system failures, which may require unplanned downtime.
• Update, modify, or discontinue specific features, functionalities, or service offerings based on evolving technology, market conditions, or business strategy.

We will make reasonable efforts to provide advance notice of scheduled maintenance and significant service changes. For emergency maintenance, we will restore services as quickly as possible and provide notice after the fact where appropriate.

To the fullest extent permitted by applicable law, in no event shall Te Yun, Jinan Teyun Trading Co., Ltd., its directors, officers, employees, agents, affiliates, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, loss of goodwill, or business interruption, whether based on warranty, contract, tort, or any other legal theory, arising out of or in connection with:

• Any conduct or content of any third party on the Website
• Unauthorized access, use, or alteration of your transmissions or content
• Any errors, omissions, or inaccuracies in any content

The aggregate liability of Te Yun for any claims arising out of or relating to these Terms of Service or the use of the Website shall not exceed the greater of one hundred US dollars (USD 100.00) or the amount you have paid us in the twelve months preceding the claim, to the extent permitted by law.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these terms limits or excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be limited by law.

You agree to defend, indemnify, and hold harmless Te Yun, Jinan Teyun Trading Co., Ltd., and its directors, officers, employees, agents, affiliates, and contractors from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses, including reasonable legal fees, arising from or related to:

• Your use of and access to the Website and Services
• Your violation of any term of this Agreement
• Your violation of any third-party right, including any intellectual property right, privacy right, or publicity right
• Any claim that your use of the Services caused damage to a third party
• Any content you submit, post, transmit, or make available through the Services

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with our defense of such claim. You shall not settle any indemnified claim without our prior written consent.

This Agreement shall remain in full force and effect while you use the Website or Services. We may terminate or suspend your access to the Website and Services immediately, without prior notice or liability, for any reason, including if you breach any provision of this Agreement.

Upon termination of your access, your right to use the Website and Services will immediately cease. Provisions of this Agreement that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

If you wish to terminate your account or this Agreement, you may do so by discontinuing your use of the Website and Services and notifying us at feedback@teyun.hair. Termination of ongoing professional services engagements is governed by the terms of the separate services agreement between the parties.

We will not be liable to you or any third party for any termination of your access to the Website or Services, provided we act in accordance with the terms of this Agreement.

We encourage you to contact us directly at feedback@teyun.hair to resolve any disputes informally before pursuing formal legal action. We are committed to addressing your concerns in good faith.

If a dispute cannot be resolved informally within sixty days, either party may pursue resolution through the following mechanisms, in the order specified:

• Mediation: The parties agree to first attempt to resolve the dispute through mediation administered by a mutually agreed-upon mediation service. Mediation shall be conducted in English, either in person in Jinan, China, or via video conference, as mutually agreed.
• Arbitration: If mediation fails, the dispute shall be resolved by binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its rules. The arbitration shall be conducted in English in Jinan, China, by a single arbitrator agreed upon by both parties.

All proceedings, including any documents, evidence, and awards, shall be treated as confidential. Each party shall bear its own costs of mediation and arbitration, unless the arbitrator determines otherwise. The prevailing party in any arbitration shall be entitled to recover its reasonable legal fees and costs.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the resolution of a dispute.

These Terms of Service and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Subject to the dispute resolution provisions set forth above, you agree that any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the competent courts located in Jinan, Shandong Province, China. You hereby consent to the personal jurisdiction and venue of such courts.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement. The failure of Te Yun to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and any failure by Te Yun to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
